The Enron disaster, and the many other business scandals that were to follow, highlighted a crisis of confidence in corporate leadership. It became clear that management and CEOs held most of the power, and that boards were rarely serving as much more than complicit pawns. Tougher Boards for Tougher Times examines the key issues, challenges, and controversies that boards have to face in thenew world of corporate governance. It examines the changing role of boards and of directors in this tense and uncertain world of heightened expectations, failed promises, wholly unacceptable and egregious excess, and a growing recognition in many quarters that the stakes are high. Many of the existing books on the topic are academic, or focus on not-for-profit boards. This book offers the extensive experience and advice of one of Canada's most experienced board members to those who must govern in corporate boardrooms. About The Author William A. Dimma has had a long and distinguished career as a director, serving on over fifty corporate boards and another forty not-for-profit boards. For over forty years, he has been sought after for the knowledge and understanding he brings to the field of corporate governance, as well as for his dedication to, and passion for, improving the practice of directorship. Mr. Dimma has served as a director or chairman for the following organizations, among many others: Delta Hotels, Monsanto Canada, Sears Canada, London Life Insurance Company, Greater Toronto Airports Authority, Torstar Corporation, and Union Carbide Canada Limited. In addition to his illustrious careeras a director, Mr. Dimma has also held numerous senior management positions at companies such as Union Carbide Canada, Torstar Corporation and Toronto Star Newspapers, A. E. LePage, and Royal LePage. He is a former Professor and Dean of the Faculty of Administrative Studies at York University.
